GOGEN COACHING – SERVICE AGREEMENT

IMPORTANT – THIS IS A BINDING LEGAL AGREEMENT.
By checking the box and completing your purchase, you (“Client” or “you”) confirm that you have read, understood, and agree to the terms below with GoGen Inc. (“GoGen,” “we,” “our”). If you do not agree, do not purchase or attend any session.

1. Nature of Services

GoGen provides educational linguistic and cultural coaching delivered online by video or other remote means. The goal is to help you improve language‐learning methods and intercultural skills. No licensed professional‑client relationship (medical, psychological, legal, immigration, matchmaking, counseling, etc.) is created.

2. No Professional Advice

All content, discussion, and materials are for general informational and educational purposes only. We are not licensed counselors, physicians, attorneys, certified translators, marriage brokers, or immigration advisers. Do not rely on coaching as a substitute for professional advice. If you need medical, psychological, legal, immigration, or other professional services, consult a qualified, licensed professional in your jurisdiction.

3. Results Not Guaranteed

Every learner and situation is unique. We make no promises, warranties, or guarantees—express or implied—about specific outcomes (e.g., fluency level, relationship success, test scores, employment opportunities).

4. Fees, Scheduling, Cancellation & Refunds

• Payment is due in full at the time of booking.

• You may reschedule one time with at least 48 hours’ written notice.

• All fees are otherwise non‑refundable, except where consumer‑protection law requires a refund.

• Missed or late sessions (10 minutes after start time) are forfeited.

5. Client Responsibilities

You are solely responsible for your decisions, actions, and results arising from or related to the coaching. You agree to participate in good faith, complete any preparatory work, and provide accurate information. If you are in crisis or feel unsafe, call emergency services immediately (Japan 110/119, U.S. 911, or your local equivalent) or the Suicide & Crisis Lifeline (U.S. 988).

6. Eligibility

You affirm that you are at least 18 years old and legally competent to enter into this Agreement. Coaching is not offered to minors without express written consent of a parent or legal guardian.

7. Privacy & Recording

7.1 Our Recording (with your consent). We may record sessions only with your advance written consent for quality assurance and note‑taking. If you consent, recordings and notes are stored securely and processed per the GoGen Privacy Policy and applicable data‑protection laws. You may withdraw consent at any time; withdrawal does not affect prior lawful processing. Unrecorded sessions cannot be reviewed later.

7.2 Client Recording Prohibited (without written consent). You may not record, copy, screenshot, screen‑record, transcribe (manually or via tools/AI), or otherwise capture any part of any session—or permit a third party (including “meeting bots,” AI note‑takers, or similar tools) to do so—unless you first obtain GoGen’s written consent (email is sufficient) and, where required by law, the written consent of all participants. Any attempted or actual unauthorized capture is a material breach.

7.3 Confidentiality of Session Content. All non‑public information disclosed in sessions—including personal stories, examples from our founder/staff, and any non‑public methods or notes (“Confidential Information”)—is confidential. You may use it only for your personal learning and must not disclose it to any third party, post it online, or use it to create derivative works (including AI training prompts or datasets).

7.4 Immediate Remedies (termination, deletion, takedown). If you make or attempt an unauthorized recording/capture or disclose Confidential Information, GoGen may, without refund: (a) terminate the session and/or this Agreement; (b) require you to immediately delete/destroy all unauthorized captures, copies, and transcripts and certify deletion in writing; and (c) seek injunctive relief (including provisional disposition / 仮処分) to stop use/disclosure and compel deletion. 7.5 Liquidated Damages (not a penalty). Because the harm from unauthorized capture or disclosure is difficult to quantify, the parties agree to the following liquidated damages as a reasonable pre‑estimate of loss and not a penalty:
(a) Unauthorized Capture (no publication): JPY 500,000 per violation.
(b) Unauthorized Publication/Disclosure: JPY 1,500,000 per unique publication (e.g., each platform/URL or each distribution to a distinct group).
These amounts do not limit GoGen’s right to seek injunctive/equitable relief or recovery of enforcement costs under §7.6. If any amount is deemed excessive under applicable consumer‑protection law, the maximum enforceable amount will apply. 7.6 Enforcement Costs (fee‑shifting). Where permitted by law, you will reimburse GoGen’s reasonable enforcement costs, including attorneys’ fees, court costs, expert fees, and platform takedown fees incurred to enforce §§7.2–7.5.

7.7 Takedown & Sender‑Info Disclosure; Agency. If any unauthorized recording/disclosure occurs online, you must cooperate fully with removal, including identifying accounts and providing platform details. You authorize GoGen to act as your agent solely to request transmission prevention (removal) and sender‑information disclosure from online service providers under applicable Japanese law. 7.8 Assignment/License of Unauthorized Recordings. To the maximum extent permitted by law, you assign to GoGen any rights you may have in any unauthorized recording/capture (including neighboring rights). Where an assignment is not possible, you grant GoGen an exclusive, worldwide, perpetual, irrevocable license to possess, use, and direct deletion/takedowns of such recordings and derivatives. You agree not to assert any moral or performer’s rights to prevent deletion, removal, or non‑use to the extent permitted by law.

7.9 No Circumvention. You may not summarize, paraphrase, or purport to “quote” session content publicly or to third parties in a way that discloses Confidential Information or reasonably allows identification of GoGen staff or clients.

7.10 Survival. §§7.2–7.9 survive termination of this Agreement.

7.11 Compliance Statement. You are responsible for complying with any recording or communications‑privacy laws in your location. Nothing in this Section permits conduct prohibited by applicable law.

8. Intellectual Property

All materials provided by GoGen (worksheets, slides, videos, etc.) remain our intellectual property. You receive a personal, non‑transferable license to use them for your own study only. Redistribution, resale, or public display is prohibited without written permission.

9. No Warranties

Services are provided “AS IS” and “AS AVAILABLE,” without any express or implied warranties, including—but not limited to—implied warranties of merchantability, fitness for a particular purpose, non‑infringement, or course of performance.

10. Limitation of Liability

To the maximum extent permitted by law, GoGen’s total liability to you for any claim arising out of or relating to this Agreement or the coaching shall not exceed the amount you paid for the session(s) in question. GoGen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or emotional distress.

11. Indemnification

You agree to indemnify and hold harmless GoGen, its officers, employees, and agents from any claims, losses, or damages (including legal fees) arising out of your breach of this Agreement or your misuse of the services.

12. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of Japan, without regard to conflict‑of‑law provisions, except where consumer‑protection law in your country of residence requires otherwise. Any dispute shall be submitted to the exclusive jurisdiction of the Tokyo District Court (Japan), unless another forum is mandated by applicable consumer law.

13. Severability

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement & Updates

This Agreement constitutes the entire agreement between GoGen and Client regarding the coaching services and supersedes all prior understandings. We may update these terms from time to time; the version in effect on the date of your booking will govern that booking.

15. Language

A Japanese translation of this Agreement is available upon request for convenience. The English version controls in all respects and will be used to resolve any ambiguity or inconsistency, except to the extent a consumer‑protection law in your country of residence requires otherwise.
